Terms of Service

Obsidian Stag LLC
Gambrel Book

These Terms of Service (the Terms) are an agreement between Obsidian Stag LLC, a Texas limited liability company (we, us, or our), and the business that subscribes to Gambrel Book (the Customer).

The Agreement consists of these Terms and, if the Customer uses text messages, the Messaging Terms. Plan, price, billing interval, and sites are those of the subscription we set up at the Customer’s request. If we and the Customer sign a separate written confirmation, that writing controls where it differs from these Terms.

An administrator accepts these Terms by ticking the box when setting their password, or when asked on signing in. The person who accepts represents that they can bind the Customer. Staff who are not administrators are not asked to accept; the Customer is the contracting party.

1. The Service

Gambrel Book is hosted shop software for custom meat processors. Staff use it to keep customer records, take in animals, build cut sheets, track orders, record payments, and email (and optionally text) the processor’s customers about order status. Those customers can look up an existing order without an account.

The Service is offered only as a subscription, at one or more of the Customer’s locations (sites). Each subscription includes a number of sites. Extra sites are added by asking us and are billed at the extra-site price then in effect.

Email to the Customer’s own customers is included. Messages are sent from our shared authenticated address under the Customer’s business name followed by “via Gambrel Book.” Replies go to the reply-to address the Customer sets for the business or site; if none is set, the message has no reply-to address.

Text messages are included in every plan at no extra charge from us. They are off until the Customer connects its own Twilio account, as described in Section 10 and the Messaging Terms.

Optional paid features (for example online payments) are add-ons. We add them to the subscription when the Customer asks.

We may change or improve the software. We will not remove a core feature the Customer pays for without 30 days’ notice.

2. Geographic scope

Gambrel Book is offered only to businesses located in the United States. The Customer represents that it is organized and operates in the United States and will use the Service for locations in the United States. We do not offer the Service to businesses in other countries and may refuse or suspend access if it is used from or for a location outside the United States. This does not restrict where the Customer’s own customers (for example hunters or farmers) reside. The Customer may not use the Service in any country or region subject to U.S. embargo or that is otherwise prohibited under U.S. law.

3. Accounts and users

The Customer’s administrators create staff users and assign roles and sites. The Customer is responsible for its users and for everything that happens under its accounts.

Credentials may not be shared. The Customer will tell us promptly if it suspects unauthorized access.

Our operators may access an account to provide support, investigate abuse, or meet legal requirements.

4. Fees and billing

Plans are monthly or annual. Annual is ten times the monthly price (two months free). Prices are those we quote and set on the subscription at purchase. Extra sites and add-ons are billed for the same interval as the plan.

There is no default free trial. A subscription is billed from its start date. We demonstrate the Service on a call before the Customer subscribes. We may grant a trial when we set up the subscription.

We invoice through Stripe Billing. Invoices are emailed and due 15 days after the invoice date. The Customer may optionally keep a payment method on file so Stripe charges renewals automatically; autopay is an election, not the default. Prices exclude tax. Tax on the subscription is charged as required, including through Stripe Tax where we use it.

Price changes:

  • monthly plans: 30 days’ notice, then the new price applies to later billing periods;
  • annual plans: a new price applies only at renewal;
  • a price we have agreed to in writing stays until that agreement ends.

The Customer may switch from monthly to annual at any time, and from annual to monthly at renewal.

5. Late payment and suspension

If an invoice is past due, the Service keeps working and a notice is shown in the app.

If the invoice remains unpaid 30 days after the due date (45 days from the invoice), we may suspend the Customer’s staff access until the balance is paid. While suspended:

  • the Customer’s own customers can still look up existing orders;
  • where online payments are on, those customers can still pay existing orders online;
  • the Customer’s data is kept.

We may also suspend access, without waiting, if the Customer’s use breaches Section 11, threatens the security or availability of the Service, or could expose us or others to legal liability. We will tell the Customer’s administrators beforehand when practical, and restore access once the problem is resolved.

6. Term, renewal, and cancellation

The subscription period is monthly or annual, as set on the subscription. Subscriptions renew automatically for the same interval. The Customer may cancel at any time. No advance notice of non-renewal is required.

  • Monthly: cancellation takes effect at the end of the paid month. There are no partial refunds.
  • Annual: cancellation stops renewal. The Service continues to the end of the paid year. There are no mid-term refunds, except a pro-rated refund of unused months if we end the Agreement without cause (Section 18) or if we breach it. We may refund in other cases as a goodwill gesture, but we do not have to.

A special price lasts as long as we agreed when we set it up, and only for what we agreed it covers.

7. Customer data

The Customer owns the data it enters: its customers, orders, catalog, payments, and related records.

We process that data only to provide and support the Service and as the Customer instructs. We do not sell it or use it for our own marketing. We may use anonymized, aggregated statistics (for example order counts) to run and improve the Service.

Our Privacy Policy describes how we handle personal data. It is not part of this Agreement.

After the Customer’s last subscription is canceled, we keep the data so the Customer can return, and reactivating restores it. We are not required to keep it. We may delete it at any time after cancellation, after emailing the Customer’s administrators and billing contact 30 days ahead so it can request an export. The Customer may also ask us to delete it, and we will do so within 60 days. Either way, we keep billing records the law requires us to keep, and the record of who accepted these Terms. Deleted data may remain in the host’s backups until they expire on the host’s own schedule; we do not restore it from them.

Until the data is deleted, the Customer may request an export (CSV of customers, orders, payments, and SMS consent records).

Security

We use reasonable administrative, technical, and physical safeguards to protect Customer data, including encryption in transit, separation of each business’s data, and restricted operator access. If we learn of unauthorized access to Customer data in our systems, we will tell the Customer’s administrators without undue delay, with what we know, and work with the Customer on any notices the law requires it to give.

8. Customer responsibilities

The software calculates estimates and bills from the prices, weights, quantities, tax, and card-fee settings the Customer enters. The Customer is responsible for checking every charge to its own customers. Drop-off totals are estimates; final weights and prices are known after processing.

The Customer complies with the laws that apply to its business, including meat inspection and custom-exempt rules, game and tagging rules, labeling (including “Not for Sale”), consumer protection, sales tax on its own sales, and card-surcharge rules. The Service does not inspect product, set the Customer’s prices, or give legal, tax, or regulatory advice.

The Customer has the right to give us its customers’ information and has told them how it is used.

If the Customer uses texts, it collects and records consent as the Messaging Terms require.

9. Online payments

If the Customer connects its own Stripe account for payments from its customers:

  • the Customer agrees to Stripe’s terms directly;
  • payments go to the Customer’s Stripe account (we never hold them);
  • Stripe’s fees are the Customer’s;
  • refunds and chargebacks are between the Customer, its customer, and Stripe.

10. Text messages

Texting is included in every plan at no extra charge from us. It is switched on when the Customer connects its own Twilio account and, once the Messaging Terms are published, accepts those terms.

The Customer submits toll-free verification for its number to Twilio, with accurate business information, using the standard answers the Service provides.

Texts are one-way order-status messages only, using standard wording we provide (business name, order number, and a link to the order). The Customer cannot write or edit messages. The number does not take replies other than opting out, opting in, and asking for help. There is no marketing content.

Texts are sent through the Customer’s Twilio account. The Customer is the sender of these texts, not us, and is responsible for complying with the laws on texting, including the Telephone Consumer Protection Act. The Customer pays Twilio for its number and messages and deals with Twilio about its account, billing, and verification. We are not responsible for texts that fail because of the Customer’s Twilio account.

We may stop sending texts if consent cannot be shown, or if a carrier or Twilio flags the number. Disconnecting Twilio or ending the subscription stops sending. The number stays in the Customer’s Twilio account.

11. Acceptable use

The Customer may not:

  • use the Service unlawfully, or to send spam;
  • try to reach another business’s data;
  • probe or attack the Service, or put an unreasonable load on it;
  • resell the Service;
  • reverse-engineer the Service, except where the law allows.

12. Availability, support, and backups

We make reasonable efforts to keep the Service available. We try to do planned maintenance outside business hours and to tell administrators ahead of any that will interrupt the Service. There is no guaranteed uptime or service credit unless we agree otherwise in writing.

Support is by email at [email protected] on business days, Central time. The goal is a first reply within one business day, and the same business day from October through January. These are goals, not commitments.

The database is backed up daily by the managed host and can be restored to an earlier point within the host’s retention window. Backups are not a substitute for the Customer’s own records.

13. Intellectual property and feedback

We own the software. The Customer receives a non-transferable right to use it during the subscription.

We may use suggestions and feedback freely, without restriction or obligation.

The Customer’s logo and name are used only to brand its own pages and emails.

14. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care, use it only for this Agreement, and share it only with people who need it for this Agreement and are bound to keep it confidential.

This does not cover information that is or becomes public through no fault of the recipient, that the recipient already knew without a duty of confidentiality, that it receives lawfully from someone else without one, or that it develops independently. A party may disclose information when the law requires, after giving the other party reasonable advance notice where the law allows.

15. Warranties and disclaimers

We provide the Service with reasonable skill and care, as described in these Terms.

To the extent the law allows, there are no other warranties, including merchantability, fitness for a particular purpose, and an error-free or uninterrupted Service.

Services we do not provide, such as Stripe, Twilio, or any other service the Customer connects, are the Customer’s choice and are governed by the Customer’s own agreement with that provider. We make no warranty about them and are not responsible for their availability, fees, or actions.

16. Limitation of liability

Each party’s total liability under this Agreement is limited to the fees the Customer paid or payable to us in the 12 months immediately before the claim.

Neither party is liable for lost profits or other indirect, incidental, special, consequential, or punitive damages.

These limits apply to all liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.

These limits do not apply to (a) the Customer’s unpaid fees or (b) a party’s indemnification obligations under Section 17. They also do not limit liability that cannot be limited under applicable law.

17. Indemnity (Covered Claims)

We will defend the Customer and pay for claims that the Service itself infringes a third party’s intellectual property rights. This does not cover claims caused by the Customer’s data or branding, by services we do not provide, or by use of the Service in breach of these Terms. If the Service is, or we think it may be, found to infringe, we may get the right for the Customer to keep using it, change it so it does not infringe without materially reducing what it does, or, if neither is reasonable, end the subscription and refund prepaid fees for the unused part of the term.

The Customer will defend us and pay for claims arising from: (a) data, content, or branding the Customer or its staff submit; (b) the Customer’s communications to its own customers, including SMS consent and opt-out; (c) prices, charges, taxes, and fees the Customer bills its customers; (d) the Customer’s compliance with laws that apply to its business (including meat inspection, custom-exempt, and game rules); (e) the Customer’s own Stripe or Twilio accounts; and (f) the Customer’s unlawful use of the Service or breach of these Terms.

Procedure. The party seeking protection promptly tells the other of the claim, gives reasonable help at the other’s expense, and lets the other control the defense and settlement. A settlement may not admit fault for, or impose an obligation on, the protected party without its consent.

18. Termination

Either party may terminate if the other party does not fix a material breach within 30 days of written notice. If we are in breach, the Customer’s remedy includes a pro-rated refund of prepaid fees.

We may terminate immediately for unlawful use or a security threat.

We may terminate without cause with 90 days’ notice and a pro-rated refund of prepaid fees, so a processor is not left without a system in the middle of a season.

The Customer may otherwise cancel as in Section 6.

When the Agreement ends, the right to use the Service ends, except that the Customer’s own customers’ order pages and the export and deletion in Section 7 continue as described there. Any fees owed for the time before it ended remain due. Sections 7, 13 to 17, this paragraph, and Section 20 continue after it ends.

19. Changes to these Terms

We will email administrators 30 days before a new version takes effect. An administrator accepts the new version in the app. Once it takes effect, administrators are asked to accept it before they can continue; other staff can keep working. If the Customer does not accept, it may cancel before the change takes effect, with a pro-rated refund of any prepaid annual fees.

20. General

Governing law and venue. The laws of the State of Texas, without regard to conflict-of-law rules. The state courts in Montgomery County, Texas, and the federal courts of the Southern District of Texas.

Notices. By email to the addresses on the account (for us, [email protected]). Our postal address for notices is Obsidian Stag LLC, 9311 FM 1488 Rd, Ste 30 - 1047, Magnolia, TX 77354.

Assignment. Neither party assigns this Agreement without the other’s consent, except in a merger or sale of the business.

Force majeure. A party is not liable for delay or failure caused by events beyond its reasonable control.

Severability. If a provision is unenforceable, the rest of the Agreement remains in effect.

Entire agreement. These Terms, the Messaging Terms (when they apply), and any signed written confirmation are the entire agreement. They replace prior discussions about the Service.

No waiver. Failure to enforce a provision is not a waiver.

Independent parties. The parties are independent contractors, not partners, agents, or joint venturers. There are no third-party beneficiaries of this Agreement, including the Customer’s own customers.
